Sworn statement (WEConnect Certification Process)
- I certify that I am [ ] (title) of applicant firm [ ] ("the Firm"). I warrant and represent to WEConnect that I have the full right, power and authority to complete this Certification Application on behalf of the Firm.
- I certify that I, on behalf of myself and the Firm and its affiliates, have read and understood all of the questions in this Certification Application and that all the information submitted in this Certification Application and its attached supporting documents are true and correct to the best of my knowledge and belief and that all responses to the questions are full and complete, omitting no material information.
- I understand that WEConnect may, by means it deems appropriate, determine the accuracy and truth of the statements in this Certification Application, and I authorise WEConnect to contact any entity named in this Certification Application and the Firm's banking institutions, credit agencies, contractors, clients and other certifying agencies for the purposes of verifying the information supplied and determining the Firm's eligibility for certification.
- I, on behalf of the Firm, agree to submit to audit, examination and review of books, records, documents and files, in whatever form they exist, of the Firm and its affiliates, inspection of its place(s) of business and equipment and to permit interviews of its principals, agents, and employees. I understand that refusal to permit such enquiries shall be grounds for denial of certification.
- I agree to provide written notice to WEConnect of any material change in the information contained in this Certification Application, within 30 days of such change (e.g. including, but not limited to, ownership, address, telephone number etc).
- I acknowledge and agree that any misrepresentation, false statement or omission made in, or in connection with, this Certification Application, or in records pertaining to this Certification Application, will be grounds for denial, revocation, or suspension, of Certification and may result in legal action being commenced by WEConnect against me and/or the Firm.
- WEConnect understands that the confidentiality of the information I provide on behalf of the Firm in connection with its application for certification is of the highest importance. WEConnect and the WEConnect Certification Committee members hold this information in the strictest confidence and each member with access to the Firm's information undertakes not to disclose or disseminate that information to any third party, otherwise than:
(a) to WEConnect's respective auditors, insurers and lawyers on terms which preserve confidentiality;
(b) pursuant to an order of a Court of competent jurisdiction or pursuant to any proper order or demand made by any competent authority or body where it is under a legal or regulatory obligation to make such a disclosure; and
(c) as far as necessary to implement and enforce any of the terms of the Code of Conduct.
If certification is granted, I hereby agree, on behalf of myself and the Firm:
- to be bound by the WEConnect Code of Conduct and to comply with the rules, regulations, policies and procedures promulgated by WEConnect.
- to be bound by the Code of Conduct.
- to indemnify WEConnect against all costs, damages, claims, demands, expenses (including the entire legal expenses of WEConnect), liabilities, losses, actions or obligations.
- generally to use our best endeavours to promote the objects and interests of WEConnect at all times.
- without prejudice to the foregoing or any provision in the Code of Conduct in force from time to time, any breach of any or all of the terms and conditions herein contained shall render the Firm liable to expulsion from WEConnect in accordance with the Code of Conduct in force from time to time.
- the date of entry into membership shall for all purposes be the date of approval by the WEConnect Board of the Firm's application for membership.
